Terms of trade

These are our terms of trade: a description of how we expect to conduct our relationship with you.

  • The contract

    • When we provide a quote which the client accepts, this forms the basis of the contract between Iteracy Ltd and the client.

  • The client

    • The client we are contracting with is the business or individual specified in the quote.

  • The goods or services

    • The exact nature of the goods and/or services to be provided are specified in the quote.

    • Work quoted at a fixed price will only include the goods and/or services specified in the quote. Anything outside the scope of the quote will be quoted for separately.

    • Estimates of time or work involved are not guaranteed to be accurate, however we will notify the client if we anticipate that our estimate will not be met once work has started.

  • The price

    • Where work is quoted at a fixed price, we reserve the right to change the final price if services procured by Iteracy vary.

    • Where a price has been estimated on a quote, the final price may vary.

    • VAT is chargeable and is itemised separately on our quotes and invoices.

  • Acceptance of quote

    • Once a quote is given it is valid for 30 days.

    • Confirmation from the client that work should proceed by email or by letter, constitutes acceptance of the quote.

  • Payment

    • Payment is by cheque or bank transfer.

    • Payment is due within 30 days of invoice unless otherwise specified in the quote.

    • Payment more than 90 days overdue will result in termination of services (this includes hosting).

    • We reserve the right to charge interest on late payments.

    • Any legal costs incurred while pursuing a debt will be chargeable to the debtor.

  • Delivery

    • Work will be delivered to the client on completion of a project.

    • Work will be delivered by uploading it to the client's server or web host, or by CD or DVD, unless otherwise specified in the quote.

  • Risk and insurance

    • The client is responsible for keeping a copy of completed work. We are not responsible for work lost by the client or other web hosts.

  • Reservation of title

    • The client retains ownership of work that we are commissioned to do, and any images or text supplied for the production of work.

    • We retain ownership of the Content Management System (CMS), Project Management System (PMS) and User-contribution site package, if supplied to the client.

    • We retain ownership of any generic code used to produce work.

  • Installation

    • The client must ensure that their web hosting meets the required specification for their website.

  • Seller’s liability for products

    • The client has 30 days in which to identify any errors or omissions in our work which we will correct, after which time the client accepts the work as being free from error.

  • Delay by the seller

    • We are not liable for any delay due to late delivery by the client or by other suppliers.

  • Copyright

    • The client retains copyright of work that we are commissioned to do, and any images or text supplied for the production of work.

    • We retain copyright of the Content Management System (CMS), Project Management System (PMS) and User-contribution site package if supplied to the client.

    • We retain copyright of any generic code used to produce work.

  • Warranty

    • We guarantee to repair any defects within 30 days of the work being supplied to the customer, after which time the client accepts the work as being free from error.

  • Claims

    • The client agrees to indemnify and hold harmless Iteracy Ltd from any claims resulting from the use of our products or services.
